By accessing or purchasing from Zonizara, you (the “Buyer” or “Wholesaler”) agree to be bound by the following terms and conditions.
1. Account Eligibility & Verification
- Wholesale Only: Zonizara is a B2B (Business-to-Business) platform. By creating an account, you certify that you are a valid business entity.
- Documentation: We reserve the right to request a valid Tax ID, Resale Certificate, or Business License at any time. Accounts that fail verification will be deactivated.
2. Orders and Minimums (MOQ)
- Minimum Order Quantity: All orders must meet the Minimum Order Quantity (MOQ) or Minimum Order Value (MOV) as specified on the product pages or checkout.</div >
- Order Acceptance: Zonizara reserves the right to refuse or cancel any order at our discretion (e.g., due to stock errors or pricing glitches).</div >
3. Pricing and Payments
- Price Changes: Prices are subject to change without notice due to market fluctuations. However, once an order is confirmed, the price is locked.
- Payment Terms: All orders must be paid in full at the time of purchase unless prior “Net Terms” (e.g., Net 30) have been legally agreed upon and signed.
- Taxes: Buyers are responsible for all applicable sales tax unless a valid tax-exempt certificate is on file.
4. Shipping and Freight
- FOB Point: Unless otherwise stated, all shipments are FOB, This means ownership and risk of loss transfer to the Buyer once the goods leave our facility.
- Shipping Costs: Buyers are responsible for all shipping and handling fees.
- Inspection: Buyers must inspect all shipments upon arrival. Any discrepancies or damages must be reported to Zonizara within 48-72 hours of delivery.
- If you receive the wrong items or are missing items from your manifest: Contact us within 3 business days, Zonizara will cover the shipping costs to send the correct items and/or provide a return label for the incorrect goods.
- In the rare event that a return is authorized for reasons other than defect (at the sole discretion of Zonizara management), Restocking Fee: A 25% restocking fee will be deducted from your refund or credit. Items must be returned in their original, unopened packaging. We cannot accept returns on items that have been price-tagged, used, or altered. The Buyer is responsible for all return shipping costs and must use a trackable shipping method
5. Refund, Returns and Exchanges
- Final Sale: Due to the nature of wholesale pricing, all sales are generally final.
- Defective Goods: Returns are only accepted for manufacturer defects or shipping errors. Buyer must report any damages or defects within 72 hours of delivery confirmation.
- Evidence Required: Please email at info@zonizara.com with your order number and clear photos of the damaged items and the shipping box.
- Resolution: At our discretion, Zonizara will provide a replacement, a store credit, or a partial refund for the affected items.
- Restocking Fee: Any approved returns for non-defective items may be subject to a 15-25% restocking fee, and the Buyer must cover return shipping.
- Non-Refundable Items: The following are strictly non-refundable:
Items marked as “Clearance,” “Closeout,” or “Final Sale.”
Custom-made or private-label orders.
Shipping and handling fees.
- Refund Processing Time: Once an authorized return is received and inspected, we will notify you of the approval or rejection of your refund. Approved refunds will be processed via your original payment method within 7-10 business days.
6. Intellectual Property & Reselling
- Brand Representation: Buyers may use Zonizara’s product images and descriptions solely for the purpose of reselling the products.
- Third-Party Platforms: (Optional Clause) Reselling Zonizara products on third-party marketplaces (like Amazon or eBay) is [Prohibited / Permitted only with written consent].
7. Limitation of Liability
Zonizara shall not be liable for any lost profits, loss of business, or indirect damages arising out of the use of our products or delays in shipping.
